Non-convertible debentures are long-term financial instruments issued by the company for specified tenure with a promise to pay fixed interest to the investor. Debentures are of two types, namely convertible debenture & non-convertible debenture NCD. Non-convertible debentures are those which cannot be converted into shares or equities.
NCD investment can be held by individuals, banking companies, primary dealers, NRIs, FIIs.

The benefit for investors is that NCD is listed on the open market and exchanges hence, easily tradable. Interest on NCD investment is directly credited to bank a/c. NCD is issued and traded only in DEMAT form.
